1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and StableCorp ("we," "our," or "us"), governing your access to and use of the StableCorp platform, including our website, applications, and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be located in, or a resident of, any jurisdiction where our Services are prohibited by applicable law or sanctions
  • Not be listed on any government sanctions list, including OFAC's Specially Designated Nationals List

By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your eligibility at any time.

3. Description of Services

StableCorp provides a global incorporation and banking platform designed for internet founders. Our Services include:

3.1 Business Formation

  • Delaware C-Corp Formation: Incorporation services including registered agent, EIN acquisition, and state filings
  • Wyoming LLC Formation: Limited liability company formation with registered agent and state compliance

3.2 Banking and Payments

  • Digital Accounts: Business banking accounts with deposit, withdrawal, and transfer capabilities
  • Stablecoin Payments: Support for USDC, EURC, and USDT transactions
  • Invoicing: Create and send invoices with integrated payment collection
  • Treasury Management: Tools for managing business funds and deposit instructions

3.3 Compliance

  • Tax Compliance: Automated tax filing support, including 1099-NEC and W-9 form management
  • KYC/KYB Verification: Identity verification and business validation processes
4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account by providing accurate and complete information. You are responsible for maintaining the accuracy of your account information and must promptly update any changes.

4.2 Account Security

You are responsible for safeguarding access to your account. You agree to:

  • Keep your authentication credentials confidential
  • Not share your account with any third party
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

4.3 Verification Requirements

We may require you to complete identity verification (KYC) and business verification (KYB) processes before accessing certain Services. You agree to provide truthful, accurate, and complete documentation as requested. Failure to complete verification may result in restricted access to Services or account suspension.

5. Fees, Payments, and Billing

5.1 Service Fees

Certain Services are subject to fees as described on our pricing page. We reserve the right to change our fees at any time with reasonable prior notice. Continued use of the Services after fee changes constitutes acceptance of the new fees.

5.2 Payment Processing

Payments are processed through our third-party payment partners. You agree to comply with all applicable payment terms and authorize us to charge the applicable fees to your designated payment method.

5.3 Transaction Fees

Platform fees may apply to transactions processed through our Services, including but not limited to payment collection, fund transfers, and currency conversions. Applicable fees will be disclosed before you confirm any transaction.

5.4 Refunds

Formation fees and government filing fees are non-refundable once the formation process has been initiated. Refund eligibility for other Services will be determined on a case-by-case basis in accordance with applicable law.

6. Acceptable Use Policy

You agree not to use our Services for any unlawful or prohibited purpose. Specifically, you must not:

  • Use the Services for money laundering, terrorist financing, or any other financial crime
  • Violate any applicable local, state, national, or international law or regulation
  • Provide false, misleading, or fraudulent information
  • Circumvent or attempt to circumvent any security measures or verification requirements
  • Use the Services to process payments for prohibited goods or services
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to any part of the Services or related systems
  • Use the Services to evade sanctions, export controls, or trade restrictions

We reserve the right to suspend or terminate your account immediately if we reasonably believe you have violated this Acceptable Use Policy.

7. Intellectual Property

7.1 Our Intellectual Property

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, trademarks, software, and design) are owned by StableCorp or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose.

7.2 Your Content

You retain ownership of any content you submit through the Services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store such content solely as necessary to provide and improve our Services.

8. Third-Party Services

Our Services integrate with and rely upon third-party service providers, including but not limited to:

  • Banking Infrastructure Partners: For account management, payment processing, and fund transfers
  • Formation Agents: For business entity formation and registered agent services
  • Verification Providers: For identity and business verification services

Your use of third-party services may be subject to additional terms and conditions. We are not responsible for the actions, content, or policies of any third-party services.

9. Disclaimers and Limitations

9.1 No Legal, Tax, or Financial Advice

StableCorp does not provide legal, tax, or financial advice. The information and tools provided through our Services are for informational purposes only. You should consult with qualified professionals for advice specific to your situation.

9.2 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STABLECORP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

9.4 Maximum Liability

Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount of fees paid by you to StableCorp in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless StableCorp and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any information or content you submit through the Services.

11. Account Suspension and Termination

11.1 By You

You may close your account at any time by contacting us at info@xelio.xyz. Account closure may be subject to completion of pending transactions, settlement of outstanding balances, and regulatory data retention requirements.

11.2 By Us

We may suspend or terminate your account or access to the Services at our sole discretion, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or our Acceptable Use Policy
  • Suspected fraudulent, abusive, or illegal activity
  • Failure to complete required verification processes
  • Compliance with legal or regulatory requirements
  • Extended period of inactivity

11.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

12.2 Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Regulatory Compliance

Our Services are subject to various regulatory requirements. By using our Services, you acknowledge and agree that:

  • We are required to comply with anti-money laundering (AML) and know your customer (KYC) regulations
  • We may be required to report certain transactions to government authorities
  • We may freeze or restrict your account if required by law or regulation
  • You are responsible for your own tax obligations and compliance with applicable laws in your jurisdiction
14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Services.

15. General Provisions
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and StableCorp regarding the Services
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction
  • Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, war, government actions, or infrastructure failures
